Terms of Service

Please read these Terms of Service (“Terms”) carefully before using NexClip AI (the “App”) operated by Cyberseeds (“Company,” “we,” “us,” or “our”).

By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

1. Description of Service

NexClip AI is a macOS video editing application that uses artificial intelligence to transcribe video content, extract topics, and generate optimized video clips. The App requires an active internet connection for transcription and AI-powered features.

You must create an account to use the App's features. You agree to:

You must be at least 13 years old (or 16 in the EEA) to use the App. By creating an account, you represent that you meet this age requirement.

3. Subscription and Payment

3.1 Subscription Plans

The App offers subscription-based access to premium features. Subscription details, including pricing and features, are displayed within the App and on the App Store.

3.2 Auto-Renewal

Your subscription will automatically renew unless it is canceled at least 24 hours before the end of the current billing period. Your Apple ID account will be charged for renewal within 24 hours prior to the end of the current period at the rate of the selected plan.

3.3 Cancellation

You may cancel your subscription at any time through your Apple ID account settings or through the subscription management options provided within the App. Cancellation takes effect at the end of the current billing period.

3.4 Refunds

Refund requests for App Store purchases are handled by Apple in accordance with Apple's refund policy. We do not process refunds directly for App Store purchases. For direct purchases, please contact us for refund inquiries.

3.5 Price Changes

We reserve the right to change subscription pricing. Any price changes will be communicated in advance, and you will have the option to cancel before the new price takes effect.

5.1 Our Intellectual Property

The App, including its software, design, features, algorithms, and documentation, is owned by Cyberseeds and protected by copyright, patent, trademark, and other intellectual property laws. Our topic-based editing technology is patent-pending.

5.2 Your Content

You retain all rights to the video content you process through the App. We do not claim ownership of your videos, transcriptions, or generated clips.

5.3 License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App in accordance with these Terms, subject to your active subscription.

5.4 Feedback

Any feedback, suggestions, or ideas you provide about the App may be used by us without obligation to you.

6. AI-Generated Content

6.1 Nature of AI Output

The App uses artificial intelligence for transcription, topic extraction, and subtitle generation. AI-generated content may contain errors, inaccuracies, or omissions.

6.2 No Guarantee of Accuracy

We do not guarantee the accuracy, completeness, or reliability of any AI-generated content, including transcriptions, topic labels, relevance scores, or subtitles.

6.3 User Responsibility

You are responsible for reviewing and verifying all AI-generated content before using it in your final video productions.

7. Third-Party Services

The App integrates with third-party services including ElevenLabs, OpenAI, Supabase, and Amazon Web Services. Your use of the App is also subject to the terms and policies of these third-party providers. We are not responsible for the practices or policies of these third parties.

8. Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CYBERSEEDS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

11.1 By You

You may terminate your account at any time by deleting your account through the App or contacting us.

11.2 By Us

We may suspend or terminate your access to the App at any time, with or without cause, with or without notice. Reasons for termination may include violation of these Terms, fraudulent activity, or extended periods of inactivity.

11.3 Effect of Termination

Upon termination, your right to use the App ceases immediately. We may delete your account data in accordance with our Privacy Policy.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

12.2 Dispute Resolution

Any disputes arising from these Terms or your use of the App shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of Delaware.

12.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the App or via email. Your continued use of the App after changes constitutes acceptance of the revised Terms.

14. Apple-Specific Terms

14.1 Acknowledgement

These Terms are between you and Cyberseeds only, not with Apple. Cyberseeds, not Apple, is solely responsible for the App and its content.

14.2 Scope of License

The license granted to you for the App is limited to a non-transferable license to use the App on any Apple-branded products that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms of Service.

14.3 Maintenance and Support

Cyberseeds is solely responsible for providing maintenance and support services for the App. Apple has no obligation to furnish any maintenance and support services.

14.4 Warranty

In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App. To the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to the App.

14.5 Product Claims

Cyberseeds, not Apple, is responsible for addressing any claims relating to the App, including product liability claims, claims that the App fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection or similar legislation.

14.6 Intellectual Property Claims

In the event of any third-party claim that the App infringes a third party's intellectual property rights, Cyberseeds, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.

14.7 Third-Party Beneficiary

Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right to enforce these Terms against you as a third-party beneficiary.

15. Severability

If any provision of these Terms is held to be unenforceable, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cyberseeds regarding your use of the App.
